1. Introduction
This Software License Agreement ("Agreement") is a legal agreement between you ("Licensee," "you," or "your") and Texvion ("Licensor," "we," "our," or "us") for the use of our software products, mobile applications, plugins, extensions, and related materials (collectively, the "Software").
By downloading, installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not download, install, or use the Software.
2. License Types
Texvion offers different license types depending on the product. The specific license type applicable to your purchase will be indicated at the time of purchase or in accompanying documentation.
2.1 Mobile Application License (App Store / Play Store)
For mobile applications downloaded from the Apple App Store or Google Play Store, you are granted a limited, non-exclusive, non-transferable license to use the application on devices you own or control, subject to:
- The usage rules established by the respective app store
- The terms of this Agreement
- Any in-app purchase terms for premium features or subscriptions
2.2 Single Site License
Permits use of the Software on a single website or single installation. This license is non-transferable and may not be used on additional sites without purchasing additional licenses.
2.3 Multi-Site License
Permits use of the Software on a specified number of websites or installations as indicated at the time of purchase. Additional sites require additional licenses.
2.4 Developer License
Permits use of the Software in unlimited client projects, with specific terms regarding redistribution and white-labeling as specified in the purchase agreement.
2.5 Enterprise License
Custom licensing terms for large organizations, negotiated on a case-by-case basis. Contact us for enterprise licensing inquiries.
3. Grant of License
Subject to the terms of this Agreement and payment of applicable fees, Texvion grants you a limited, non-exclusive, non-sublicensable license to:
- Install and use the Software in accordance with your license type
- Make reasonable backup copies for archival purposes
- Receive updates and bug fixes during your support period (if applicable)
- Use accompanying documentation for your internal reference
4. Restrictions
You may NOT:
- Redistribute: Sell, rent, lease, sublicense, distribute, or transfer the Software to third parties, except as expressly permitted by your license type
- Modify for Redistribution: Modify the Software for the purpose of redistribution or resale
- Reverse Engineer: Decompile, disassemble, reverse engineer, or attempt to derive the source code of the Software, except as permitted by applicable law
- Remove Notices: Remove, alter, or obscure any proprietary notices, labels, or marks on the Software
- Compete: Use the Software to create a competing product or service
- Share Credentials: Share your license keys, login credentials, or download links with unauthorized third parties
- Circumvent: Attempt to circumvent any license validation, copy protection, or usage limitations
- Illegal Use: Use the Software for any illegal or unauthorized purpose
5. Intellectual Property
5.1 Ownership
The Software and all copies thereof are proprietary to Texvion and title thereto remains in Texvion. All applicable rights in the Software, including copyrights, patents, trademarks, trade secrets, and other intellectual property rights, are and will remain the exclusive property of Texvion.
5.2 No Transfer of Rights
This Agreement does not transfer any ownership of intellectual property rights. You acknowledge that the license granted herein does not provide you with any rights to trademarks, service marks, or logos of Texvion.
5.3 Third-Party Components
The Software may include third-party open source components subject to their own license terms. A list of these components and their licenses is available upon request or in the Software documentation.
6. Mobile Application Specific Terms
6.1 Apple App Store
For applications downloaded from the Apple App Store:
- This license is limited to use on Apple-branded products running iOS or macOS
- Apple has no obligation to furnish maintenance or support services
- Apple is not responsible for any product claims or third-party intellectual property claims
- Apple and its subsidiaries are third-party beneficiaries of this Agreement
- You must comply with the App Store Terms of Service
6.2 Google Play Store
For applications downloaded from Google Play Store:
- This license is limited to use on Android-powered devices
- Google has no obligation to furnish maintenance or support services
- You must comply with the Google Play Terms of Service
- Google is not responsible for the application or its content
6.3 In-App Purchases and Subscriptions
Some features may require in-app purchases or subscriptions:
- Purchases are processed through the respective app store
- Subscription terms and renewal policies are governed by the app store
- Refunds are subject to the app store's refund policies
- You can manage subscriptions through your device settings
7. Updates and Support
7.1 Updates
We may provide updates, patches, bug fixes, or new versions of the Software from time to time. Updates may be automatic or require manual installation. Unless otherwise specified, updates are subject to the terms of this Agreement.
7.2 Support
Technical support availability depends on your license type and any support agreement. Standard support includes:
- Email support during business hours
- Access to documentation and knowledge base
- Bug fixes and security updates
Premium support options may be available for purchase separately.
8. Custom Development Work
For custom development projects, the following terms apply unless otherwise specified in a separate agreement:
8.1 Deliverables Ownership
Upon full payment, you receive ownership of custom code and deliverables specifically created for your project, excluding:
- Pre-existing Texvion code, libraries, and frameworks
- Third-party code and open source components
- Generic, reusable components that may be used in other projects
8.2 License to Pre-Existing Materials
For pre-existing materials incorporated into custom work, you receive a non-exclusive, perpetual license to use such materials within your project.
8.3 Portfolio Rights
We retain the right to showcase non-confidential aspects of completed work in our portfolio, unless otherwise agreed in writing.
9. Warranty Disclaimer
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
TEXVION DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE IS WITH YOU.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TEXVION BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE USE OF THE SOFTWARE.
TEXVION'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Termination
11.1 Termination for Breach
This Agreement will terminate automatically if you fail to comply with any of its terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession.
11.2 Termination by You
You may terminate this Agreement at any time by discontinuing use of the Software and destroying all copies.
11.3 Effect of Termination
Sections relating to intellectual property, warranty disclaimer, limitation of liability, and general provisions shall survive termination.
11.4 Refunds Upon Termination
Termination does not entitle you to a refund unless otherwise required by applicable law or specified in a separate refund policy.
12. Export Compliance
You agree to comply with all applicable export and re-export control laws and regulations. You represent that you are not located in, or a resident of, any country subject to U.S. export restrictions, and that you are not on any U.S. government denied party lists.
13. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Texvion is registered, without regard to its conflict of law provisions.
14. Changes to This Agreement
We reserve the right to modify this Agreement at any time. We will notify you of any material changes by posting the updated Agreement on our website. Your continued use of the Software after any changes constitutes your acceptance of the new terms.
15. General Provisions
15.1 Entire Agreement
This Agreement, together with any applicable purchase agreement, constitutes the entire agreement between you and Texvion regarding the Software.
15.2 Severability
If any provision of this Agreement is found to be unenforceable, the remaining provisions will remain in full force and effect.
15.3 Waiver
The failure of Texvion to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
15.4 Assignment
You may not assign or transfer this Agreement without our prior written consent. Texvion may assign this Agreement without restriction.
